Terms of Service

These Terms apply to everyone who uses the Service (including registered account holders as well as guests who use the Service without logging in, e.g. via share links — collectively, “Users”).

The Privacy Policy and the “About Royalty-Free Publishing” document concerning open licenses for published tracks form part of these Terms.

• Register accurate information when creating an account. You are responsible for managing your credentials (email address, password, etc.); the Company is not liable for damage caused by inadequate management of your credentials.
• The Service lets you create and join projects without logging in, via share links. Anyone who knows a share link can perform the operations that link allows, so you are responsible for deciding who you share links with and for managing them.
• Projects created as a guest can be transferred to your account when you sign up. Until then, the share link is the only way to manage such a project; if you lose the link, the Company cannot guarantee recovery.

• Copyright in audio, images, text and other material Users upload to the Service (“User Content”) remains with the User or the rightful owner.
• The Company may use User Content free of charge to the extent necessary to provide, maintain and improve the Service (including storage, reproduction, conversion into playback and waveform data, and display/delivery according to the visibility settings the User has chosen).
• Only upload content for which you hold the necessary rights or have obtained lawful permission. Uploading or publishing collaborative works requires, in principle, the consent of all rights holders involved.
• Projects have visibility settings (members only / accounts / public), and Users understand that third parties may view and play content according to those settings.
• Licensing of tracks published as “releases” (CC0 etc.) is governed by “About Royalty-Free Publishing”.

When using the Service, Users must not:

• Infringe third-party copyrights, neighboring rights, trademarks, portrait rights, publicity rights, privacy or any other rights
• Upload or publish content that violates laws or public order and morals
• Gain unauthorized access, or misuse another person’s account, share links or invitations
• Place excessive load on the Service’s servers or network, or perform large-scale access through unauthorized automated means
• Interfere with the operation of the Service, or engage in any other conduct the Company reasonably deems inappropriate

If the Company determines that a User has violated this Article, it may, without prior notice, delete content, suspend publication, restrict account use or take other measures.

• Projects have a retention deadline (counted from the creation date; the default is 7 days, adjustable up to 60 days for guest-created projects and up to 365 days for projects tied to an account).
• Projects and data such as audio files are deleted once the retention deadline has passed, and deleted data cannot be restored.
• You are responsible for keeping backup copies of your original audio data. The Service is not designed as a permanent archive for original data.

The Company may change the content of the Service or interrupt its provision without prior notice due to maintenance, system failure or other operational reasons. If the Company terminates the Service, it will endeavor to announce this on the Service with a reasonable notice period.

• The Service is provided “as is”, and the Company does not warrant its completeness, accuracy, availability or fitness for a particular purpose.
• Disputes arising between Users, or between a User and a third party (including disputes over rights in content), shall be resolved at the User’s own responsibility and expense.
• The Company is not liable for damage arising from use of, or inability to use, the Service, or from loss or corruption of data, except in cases of the Company’s willful misconduct or gross negligence. Even where the Company is liable, its liability is limited to direct and ordinary damages.

Minors must obtain the consent of a parent or other legal representative before using the Service. When a minor uses the Service, they are deemed to have obtained such consent.

The Company may amend these Terms when it deems necessary. Material changes will be announced by posting on the Service or by other means. Continued use of the Service after a change constitutes agreement to the amended Terms.

These Terms are governed by and construed in accordance with the laws of Japan. Any dispute concerning the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
